GENERAL:

The following General Terms of Business (GTOB) are a constituent part of all legal contracts between you (stated as "client") and Star Enterprise regarding the acquisition and usage by products and services offered through Star Enterprise. They are also acting as a fundamental base for all direct or indirect communication with Star Enterprise.

Star Enterprise only signs contracts with clients holding the status of a company in their respective jurisdiction. We do not sign contracts with private customers.

By accepting an order finally, you agree to all elements of these GTOB.

In the case you do not agree with these GTOB, you are not allowed to sign contracts with or use products and services provided by Star Enterprise.


ORDER ACCEPTANCE, DELIVERY PERFORMANCE:

All contracts done with Star Enterprise are final, there is no right of cancellation. The acceptance of an order is reserved.

Star Enterprise is endeavoured to provide all products and services as agreed originally. Star Enterprise reserves the right to cancel active contracts at any time, without stating reasons.

Before an order is accepted, Star Enterprise thoroughly checks all information provided by the client and reserves the right to request further information to verify client's identity (for example a copy of the business registration certificate, credit card or an other personal document).

These GTOB may be altered without notice and without stating reasons at any time. In such a case, Star Enterprise offers the right to cancel contracts within the first four weeks after new GTOB has been published. This requires a written notice.

The declaration of agreements different to these GTOB have to be done in a written form and require a personal signature by an authorized person of Star Enterprise.


LIABILITY:

All information available on the websites of Star Enterprise is intended for informational purposes only, it does not mean any offer and is not a binding element for doing contracts.

Star Enterprise reserves the right to limit or terminate the availability of products and services, even without notice. This may especially apply in the case client is abusing these products and services.

All products and services are provided on an as-is, as-available base. Client takes over all risks involved with the usage of provided products and services.

Star Enterprise does not take over any liability for direct or indirect damages arising from client's usage of these products and services. This includes, without limitation, all kinds of direct or indirect damages as well as losses of income and damages to properties, damages caused by the unavailability of products and services or missing fitness for a particular purpose. The stated non-liability includes explicitly negligence by Star Enterprise.

Should there exist regulations by law unexpectedly causing a liability through Star Enterprise, the liability is limited to a single-time payable amount of 10 Euro per contract. In such a case, the contract is considered as being immediately terminated.

The privacy policy of Star Enterprise applies.

Area of jurisdiction is 95369 Untersteinach, Germany. All disputes relating to these GTOB are subject of the final jurisdiction of Germany and the European Union.


PAYMENTS:

There are different kinds of payment offered, which are closer described at the concerned order forms. The client agrees to take over all applying service charges, including charges occurring from failed transactions (e.g. chargeback fees). All payments are final, there are no later refunds possible.

Only Germany: All shown prices are exclusive German sales tax.

Only European Union (without Germany): All shown prices are exclusive German sales tax. There will be no sales tax charged, when providing a valid sales tax ID during order placement.

Applying world-wide: Eventually charged taxes, customs and other fees must be paid by the client.

Invoices are made available only by e-mail or via telefax. Unless agreed otherwise, all payments have be done beforehand. For running contracts, payments must be paid one runtime period in advance, latest at the date of receiving an invoice. After the date of payment as stated on an invoice has been exceeded, client falls in arrears.

Star Enterprise is allowed, after sending one notice, to cancel the contract immediately and to limit or terminate the availability of products and services, even without notification; existing claims are not affected. All applying expenses during the reminder period must be paid by the client, including costs for collecting money. Unless all outstanding amounts have been paid in full, a monthly interest rate of 5 % (based upon the originally open overall payable sum, without consideration of made partial payments) is charged, starting at the date of first payment reminder.

GENERAL:

We process all provided data only on our own computer systems and do not share them with third parties. Data usage is regulated by German and European privacy laws.

Exceptions that require to share data with third parties: Verification of client data prior order acceptance, processing orders, civil actions and lawsuits caused by criminal offences and breaching contracts as well as in case of legal claims by a national democratic authority.

External contents provided on our websites are under control of the concerned service provider and therefore are not part of this privacy policy. Star Enterprise is endeavoured to ensure that these service providers are acting in compliance with this privacy policy.

COLLECTING DATA:

Star Enterprise may collect the following data:

General network tracking and transaction data (e.g. IP address, used computer system and viewing software, date/time stamp, cookie contents).

Any by the user provided data (e.g. address details, order related data, communication protocol and contents).


ENSURING THE PRIVACY:

1. Computer systems, internal and public networks:

All computer systems are located in specially secured areas preventing unauthorized physical access.

Communication between the computer systems and the Internet is done over routers, specially protected against intrusion by outside the Internet (e.g. firewall, packet inspector).

Personal data is protected by using strong SSL encryption and other encryption methods (SSL, "Secure Socket Layer").

2. Employees, third party organizations

All employees of Star Enterprise (including freelancers and employees of third party organizations) guarantee the privacy of data and information they gain access to by signing a special agreement.


DURANCE OF STORING COLLECTED INFORMATION:

General network tracking and transaction data are kept stored for a maximum of 24 hours and then will be converted into general (anonymized) statistical information.

Other provided data is used as long as required for the task it was submitted to (e.g. during contract lifetime, while processing orders).

End user software license agreement...


GENERAL:

The following End User License Agreements (EULA) are a legal contract between you (stated as "client") and Star Enterprise regarding the usage of software developed by Star Enterprise.

By obtaining a license of the software, you agree to all elements of these EULA.

If you have questions regarding these EULA, please contact our customer service by e-mail (support@starenterprise.com) before obtaining software licenses.

In the case you do not agree with these EULA, you are not allowed to obtain nor use the software as license.

Star Enterprise assures all users of unlicensed software being freed from punishment when immediately licensing their software and also honors notifications leading to clarify violations of rights. The unauthorized software usage is a criminal offence.


LICENSING TERMS, RIGHTS:

Under the prerequisite to fulfil all terms stated here, Star Enterprise grants the following rights to the client:

1. Installation and usage of one copy of the software on one computer for one domain name and one user.

2. The software can be used on this computer only for one single domain name and one single user at the same time. The client has the right to sell the owned license permanently, under the prerequisite, that there are no copies of the software retained, usage at the time of transferring the license is stopped and Star Enterprise becomes informed about the license transfer. By transferring the license, the new license owner loses the right to receive free, unlimited support for the software by Star Enterprise.

3. The client has the right (and it is strongly recommended) to generate one backup copy of the software on a storage device of its choice. The client is entitled to use this backup copy for re-installing the software.

4. Reverse engineering, or alterations done to the software (especially removing copyright notes from the source code) are prohibited. This also applies to the integration into applications of third parties unless a written agreement has been made with Star Enterprise.

5. The client is not entitled to rent the software (also free of charge) or use it as a commercial/private service, unless a written agreement has been made with Star Enterprise.

6. In the occurrence that client violates one of these terms, Star Enterprise reserves the right to terminate these EULA immediately. In such a case, client is required to stop usage of the software and destroy all existing copies (including backups). Additional demands as a result from hurting the agreement as well as civil actions and lawsuits because of criminal offences are reserved.

7. Star Enterprise reserves all rights not explicitly granted in these EULA. The software is protected by copyright laws as well as further laws and regulations regarding intellectual property. Star Enterprise reserves the ownership, copyright and other commercial protection rights on this software. The software will be licensed only, not sold.

8. The exceptional agreement of additional rights or regulations different to these EULA have to be done in a written form and require a personal signature by an authorized person of Star Enterprise.

SUPPORT - free, unlimited support:

Star Enterprise provides free, unlimited support to the client, as first owner of this license, during the contracted time period, managed by using electronic communication methods (web, e-mail, telephone, fax) according the following conditions:

1. The free, unlimited support covers the first installation of the software and its related initial configuration as well as the timely unlimited usage of the software. This does not cover support requests belonging to modifications applied to the software, its integration into third party products, unsuitable hardware and operating system environments or support inquiries not directly related to the software.

2. The client has the right to nominate one contact person (one specific e-mail address) that is allowed to submit support inquiries to Star Enterprise.

3. The free, unlimited support is provided upon the discretion of Star Enterprise and implies no right for demands. Star Enterprise reserves the right to stop the delivery of free, unlimited support in case of abuse.

4. The right to receive free, unlimited support is not transferrable. For this reason, future license owners cannot receive free, unlimited support (except paid incident support).
